Terms of Service

Effective date: 20 October 2026

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "you") and B5 Marketing FZ-LLC (Trade Licence No. 4031356), trading as YallaWeb ("Company", "we", "us", or "our"), a free zone company registered and operating in the United Arab Emirates, with its registered address at JT030125, Compass Building, Al Shohada Road, Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates.

By accessing our website, submitting an enquiry, or entering into a service agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must cease using our website and services immediately.

2. Services

The current YallaWeb website subscription includes your website, hosting and one standard non-premium .com domain. The wider service categories below describe other work and are not included in this subscription unless expressly agreed:

  • Website design and development beyond the agreed subscription scope
  • Google My Business setup and Search Engine Optimisation (SEO) beyond basic website setup
  • Social media management
  • Advanced WhatsApp Business integration beyond a website contact link
  • Logo & branding
  • Google & Meta Ads management

Specific deliverables, timelines, pricing, and payment terms for each engagement will be set out in a separate written proposal or service agreement ("Project Agreement") issued to you. In the event of conflict between these Terms and a Project Agreement, the Project Agreement shall prevail.

3. Pricing and Payment

3.1 Quoted prices are in UAE Dirhams (AED) and are valid for 30 days from the date of the proposal unless otherwise stated.

3.2 Value Added Tax (VAT): The current offer is AED 99 initially and AED 39 per month thereafter. Both prices include VAT.

3.3 Payment schedule: You review and approve your website preview before payment. The AED 99 initial payment includes the first 30 days of service. Recurring billing of AED 39 per month starts exactly 30 elapsed days after successful payment, then renews monthly on that billing date. This initial payment is not a deposit.

3.4 Hosting and domain: Cloudflare hosting and one standard non-premium .com domain are included in the subscription. After successful payment, we offer three available names. You approve your chosen name and its exact spelling before B5 Marketing FZ-LLC registers it with auto-renewal enabled. The domain is registered in the name of B5 Marketing FZ-LLC, which holds it for you while your subscription is active. Clause 3.7 explains how you can take it over. Hosting and processing may take place outside the UAE.

3.5 Late and failed payments

(a) Subscription payments. If a monthly card payment fails, Stripe will retry it automatically over the following 14 days, and we will send you a payment link by WhatsApp or email. If the payment is still not made 7 days after the due date, we may take your website offline until you pay. If it is still not made 14 days after the due date, your subscription ends and clauses 3.7, 5.1 and 8.2 apply. We do not charge late fees or interest on subscription payments.

(b) Other invoices. For separately agreed services invoiced to business clients, amounts unpaid 30 days after the due date may attract simple interest at 5% per year, to the extent permitted by UAE law.

3.6 Accepted payment methods: Subscription payments are handled through Stripe. Bank transfer to our UAE-registered bank account, or other methods, may apply to separately agreed services as stated in the invoice. Payment details will be provided with the payment request.

3.7 Your domain

(a) We hold your domain for you. We will not sell it, use it for any other business, or point it to any other website.

(b) While you are subscribed, you can ask us at any time to transfer the domain to you, either into your own Cloudflare account or to another registrar of your choice. We will start the transfer within 5 business days of your request, or as soon as any lock period set by the registry, Cloudflare or ICANN rules has ended (for example, 60 days after first registration for a move to another registrar). Another registrar may charge a transfer fee, which usually includes one extra year of registration. After the transfer you pay renewals yourself and your subscription price stays the same. We keep hosting your website, but you may need to change your domain settings as we instruct.

(c) After you cancel, we keep the domain for 60 days after your website goes offline, and you can ask us to transfer it to you free of charge during that time. We do not pay for renewals after your subscription ends. If the renewal date falls before the transfer is complete, you can pay us the renewal cost, otherwise the domain may expire. If you do not ask for a transfer within 60 days, we will let the domain expire. We will not keep it for ourselves or offer it to anyone else.

(d) We transfer the domain only if you have no overdue payments, the request comes from the WhatsApp number or email linked to your account, and the domain is not subject to a dispute or legal order.

4. Client Obligations

To enable us to deliver services effectively, you agree to:

  • Provide all required content (text, images, logos, brand assets) in a timely manner as agreed in the Project Agreement.
  • Respond to review requests and approve deliverables within the timeframe specified. For the current website subscription, content or approval delays do not pause or extend the 48-hour delivery guarantee in clause 7.
  • Ensure that all content, trademarks, images, and materials you provide to us do not infringe the intellectual property rights or other rights of any third party.
  • Comply with all applicable UAE laws in connection with your use of our services and your own business activities.
  • Provide a designated point of contact with authority to make decisions on your behalf.

5. Intellectual Property

5.1 Who owns what

(a) Your content. Your business name, logo, photos, text and other materials you give us belong to you. Text and images that we create only for your website also become yours once we receive your initial payment. Together these are "Your Content".

(b) Our templates and code. Your website is built from our proprietary templates (clause 5.3). The design, layout, code and templates remain our property. While your subscription is active, you may use them for your website.

(c) Copy of Your Content. You can ask for a copy of Your Content at any time, including after you cancel. We will send it within 10 business days of your request.

(d) Website files. Once your subscription has been active and fully paid for at least 12 months, and you have no overdue payments, you can ask for a copy of your website files (the code, Your Content and images as published). We will send it within 10 business days of your request. You then have a permanent, free, non-exclusive right to use, change and host that copy for your own business. You may not resell it or use our templates for other websites. Third-party components remain subject to their own licences (clause 5.2).

5.2 Third-party components (themes, plugins, fonts, stock images, open-source libraries) incorporated into your project remain subject to their respective third-party licences. We will disclose the use of such components and, where required, these licences will be passed through to you.

5.3 Our tools and methodologies: We retain all rights in our proprietary frameworks, templates, processes, know-how, and tools used in delivering the services.

5.4 Portfolio right: Unless you expressly request otherwise in writing before project commencement, we reserve the right to display the completed project in our portfolio and marketing materials.

5.5 Content you supply: You retain ownership of all content and materials you provide to us. You grant us a non-exclusive, royalty-free licence to use such materials solely for the purpose of delivering the services.

5.6 Transfers: To request a copy of Your Content, your website files or a domain transfer, contact us by WhatsApp or email. Our team handles these requests manually and free of charge, under clauses 5.1(c), 5.1(d) and 3.7. We send you the files and transfer the domain; we do not set up hosting with your new provider.

6. Revisions and Change Requests

The current website subscription includes two preview revisions before you approve the preview and pay. After launch, it includes one simple website change per month, plus free corrections. A simple change is a minor modification to existing content. New features, additional pages and fundamental design changes are outside this package and require a separate quote and written approval before work commences.

7. Turnaround Times

For the current website subscription, we deliver your final website live on your approved domain within 48 elapsed hours from successful payment. The clock includes nights and weekends. It does not start from a first call or the receipt of further content. If we miss that deadline, you are entitled to a full refund of the initial payment. Contact us by WhatsApp or email: our team checks the payment and delivery times and processes the refund under clause 8. The refund is handled by our team, not paid automatically or instantly. The general delay provisions in clauses 4, 14 and 15 do not remove this refund guarantee. Service chat hours are Monday to Friday, 9am to 6pm Dubai time. Free previews take 10 to 15 minutes when staff and capacity are available before 5:45pm Dubai time; otherwise, they are provided the next staffed morning. These chat hours do not limit the 48-hour delivery clock.

8. Cancellation and Refunds

8.1 You may cancel your website subscription by written notice through WhatsApp or email. Cancellation stops future billing at the end of your current paid period.

8.2 Your website remains live until the end of that paid period, then goes offline. Subscription cancellation is separate from the full refund owed if we miss the delivery deadline in clause 7. You can ask for Your Content under clause 5.1(c), your website files under clause 5.1(d) if you qualify, and your domain under clause 3.7. Please ask within 60 days after your website goes offline. After that, we may delete your website files.

8.3 We reserve the right to cancel a project if you repeatedly fail to provide required materials, approvals, or payments. We will return any prepaid amounts for work not yet commenced. This does not remove your right to a refund under the delivery guarantee.

8.4 Refunds, where applicable, will be processed within 30 business days by the original payment method.

9. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the services ("Confidential Information"), and not to disclose such information to any third party without the prior written consent of the disclosing party, except as required by law. This obligation survives termination of the engagement for a period of 3 years.

10. Warranties and Representations

Each party warrants that:

  • It has the full right, power, and authority to enter into and perform its obligations under these Terms.
  • Its performance will not violate any applicable law or third-party rights.

We warrant that the services will be performed with reasonable skill and care in accordance with industry standards. We do not warrant specific outcomes such as search engine rankings, number of leads, or revenue generated, as these depend on factors outside our control.

11. Limitation of Liability

11.1 To the maximum extent permitted by UAE law, our total aggregate liability to you under or in connection with these Terms and any Project Agreement shall not exceed the total fees paid by you to us in the 12 months preceding the event giving rise to the claim.

11.2 We shall not be liable for any indirect, consequential, special, incidental, or punitive damages, or for loss of profits, revenue, data, business, or goodwill, even if we have been advised of the possibility of such damages.

11.3 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by UAE law.

12. Indemnification

You agree to indemnify, defend, and hold harmless YallaWeb and its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your breach of these Terms; (b) your use of our services in violation of applicable law; or (c) any content or materials you provide to us that infringe third-party rights.

13. Website Use

13.1 You must not use our website for any unlawful purpose or in any manner that could damage, disable, overburden, or impair it.

13.2 You must not attempt to gain unauthorised access to any part of our website, server, or any connected system or network.

13.3 We reserve the right to restrict or terminate access to our website at any time without notice.

14. Third-Party Services

Our services may involve the use of third-party platforms (e.g., Meta Business Suite, Google services, hosting providers, domain registrars). Your use of such platforms is subject to their respective terms and conditions. We are not responsible for any changes, outages, or policy changes made by third-party providers.

15. Force Majeure

Neither party shall be liable for any failure or delay in performance caused by circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, pandemic, governmental action, or internet infrastructure failures. The affected party must notify the other party as soon as reasonably practicable and use reasonable efforts to mitigate the impact.

16. Governing Law and Dispute Resolution

16.1 These Terms, and any dispute or claim arising out of or in connection with them, are governed by the federal laws of the United Arab Emirates and, where applicable, the laws of the Emirate of Ras Al Khaimah.

16.2 We will first try to resolve any dispute informally and in good faith. Please send us details of your complaint by WhatsApp or email. If the dispute is not resolved within 30 days of that written notice, you may file a complaint with the UAE Ministry of Economy or the consumer protection authority of your emirate, and either party may refer the dispute to the competent courts of the United Arab Emirates.

16.3 Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.

17. Amendments

We may update these Terms from time to time and will publish them on our website with a new effective date. If you have an active subscription and a change is material, we will tell you by WhatsApp or email at least 30 days before it applies to you. If you do not agree, you can cancel under clause 8.1 before the change applies. Changes required by law, or that only benefit you, may apply sooner.

18. Entire Agreement, Severability and Language

18.1 These Terms, together with any applicable Project Agreement and our Privacy Policy, constitute the entire agreement between you and YallaWeb with respect to the subject matter hereof and supersede all prior agreements, representations, and understandings. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18.2 Language: These Terms are published in English and Arabic. The Arabic version is a translation. If there is any difference between the two versions, the English version prevails.
